Terms & Conditions

These Terms & Conditions govern the use of Quadoria's website, software products, digital solutions, services and business relationships with distributors, retailers, resellers, customers and other users.

1. Acceptance of Terms

By accessing our website, purchasing, subscribing to, installing, activating or using any Quadoria product or service, you acknowledge that you have read, understood and agreed to these Terms & Conditions.

If you do not agree with these Terms & Conditions, you should not purchase, activate, install or use Quadoria's products or services.

2. About Quadoria

Quadoria is an IT and digital solutions company engaged in the development and provision of software, websites, mobile applications, digital products, technology solutions, business automation tools and related services.

Quadoria may provide its products and services directly to customers or through authorized distributors, retailers, resellers, partners or other business associates.

3. QCrate EMI Locker

About the Product

QCrate EMI Locker is a technology solution designed for retailers, mobile phone shops, distributors and other authorized business users who provide mobile devices to customers under an EMI, credit or other agreed payment arrangement.

Subject to the applicable product configuration, authorization and customer agreement, the solution may provide functionality that enables an authorized retailer or other authorized user to remotely restrict certain functionality of a device when payment obligations are not fulfilled.

QCrate EMI Locker is a software and technology tool. Quadoria does not become a party to the underlying financing, sale, credit, EMI or payment agreement between a retailer/distributor and its customer unless expressly agreed by Quadoria in writing.

4. Customer Consent and Lawful Use

The retailer, distributor, reseller or other person responsible for installing or activating QCrate EMI Locker on a customer's device is responsible for obtaining all necessary permissions, disclosures, consents and contractual agreements required for such installation and use.

The responsible retailer or distributor must clearly inform the customer that the device may be subject to software-based restrictions or remote management in accordance with the customer's payment or contractual obligations.

Important: Quadoria does not authorize the use of QCrate EMI Locker for unlawful, fraudulent, abusive, discriminatory or unauthorized activities. The distributor or retailer is solely responsible for ensuring that its use of the product complies with applicable laws, contractual obligations and customer rights.

5. Retailer and Distributor Responsibilities

Retailers, distributors, resellers and other authorized users are responsible for the manner in which they use QCrate EMI Locker.

They must:

  • Use the product only for legitimate business purposes.
  • Obtain appropriate customer consent before installation or activation.
  • Clearly communicate applicable EMI, payment and device-management terms to their customers.
  • Use the software only on devices that they are legally authorized to manage.
  • Maintain accurate customer and payment records.
  • Use remote-control features responsibly and only when contractually and legally permitted.
  • Avoid any action that may cause unnecessary damage, harassment, intimidation or unlawful interference with a customer's device.
  • Keep account credentials, dashboard access and authentication information secure.

6. EMI Default and Device Restriction

Where a customer fails to fulfil an agreed EMI or payment obligation, an authorized retailer or distributor may use the applicable QCrate EMI Locker functionality only to the extent permitted by the applicable agreement, product configuration and law.

Any decision to restrict, manage, unlock or otherwise control a customer's device is made by the authorized retailer, distributor or account holder and not by Quadoria, unless Quadoria has expressly agreed in writing to perform such action.

Quadoria is not responsible for disputes between a retailer/distributor and its customer concerning EMI amounts, payment schedules, device ownership, refunds, repossession, financing, credit terms or other commercial matters.

7. Role and Responsibility of Quadoria

Quadoria provides the underlying technology, software platform and related technical services.

Unless specifically agreed otherwise in writing, Quadoria is not responsible for:

  • The sale or financing of any mobile device.
  • The EMI agreement between retailer and customer.
  • Collection of EMI payments.
  • Customer disputes regarding payment amounts.
  • Ownership disputes relating to a device.
  • Actions taken by distributors or retailers using the platform.
  • Any unauthorized or unlawful use of the software by a distributor, retailer or third party.

8. Distributor Payments and Commercial Terms

Quadoria may appoint distributors, retailers, resellers or business partners for the sale, distribution or promotion of its products.

Any commercial payment, commission, incentive, reimbursement, service fee or other amount payable to a distributor shall be subject to the applicable written agreement, invoice, order, subscription plan or commercial terms communicated by Quadoria.

A distributor shall not be entitled to demand any amount from Quadoria merely because a customer has purchased, activated or used a product unless such payment has been expressly agreed between Quadoria and the distributor.

Quadoria reserves the right to verify transactions, subscriptions, activations, customer records and other relevant information before processing any distributor payment.

Where a payment request is disputed, incomplete, unsupported, fraudulent, duplicated or inconsistent with Quadoria's records, Quadoria may place the payment on hold until the matter is verified and resolved.

Distributor payments are subject to verification, applicable commercial terms, successful transactions, compliance requirements and any applicable deductions, adjustments, refunds or reversals.

9. Payment Hold, Adjustment and Recovery

Quadoria may withhold, adjust, set off or recover any amount payable to a distributor where reasonably required due to refunds, chargebacks, cancelled transactions, duplicate claims, fraudulent activity, incorrect reporting, contractual violations or other legitimate commercial reasons.

Any amount incorrectly paid to a distributor may be recovered or adjusted against future amounts payable to that distributor.

10. Software Licence

Subject to payment of applicable fees and compliance with these Terms, Quadoria grants an authorized user a limited, non-exclusive, non-transferable and revocable right to use the applicable Quadoria software for legitimate business purposes.

The software licence does not transfer ownership of the software, source code, platform, algorithms, designs, trademarks or other intellectual property to the user.

11. Intellectual Property

All intellectual property associated with Quadoria and its products, including software, source code, object code, designs, interfaces, trademarks, logos, documentation, databases, systems, processes and technology, remains the property of Quadoria or its respective licensors.

No user, distributor, retailer or partner may copy, reproduce, modify, reverse engineer, distribute, sublicense, resell or commercially exploit Quadoria's intellectual property except with prior written permission.

12. Prohibited Activities

Users, retailers and distributors must not:

  • Use QCrate EMI Locker on devices without appropriate authorization.
  • Use the platform for unlawful surveillance or unauthorized monitoring.
  • Attempt to bypass, disable or manipulate the security mechanisms of the software.
  • Reverse engineer or attempt to extract source code.
  • Share unauthorized access credentials.
  • Use the platform for fraud, harassment, threats or unlawful collection practices.
  • Misrepresent Quadoria or claim to be an employee, representative or authorized agent without authorization.

13. Account and Login Security

Users are responsible for maintaining the confidentiality of their account credentials, passwords, authentication details and dashboard access.

Any action performed through an authorized account may be treated as an action of the account holder unless the account holder promptly reports unauthorized access to Quadoria.

14. Service Availability

Quadoria will make reasonable efforts to keep its services operational and available.

However, temporary interruptions may occur due to maintenance, upgrades, internet connectivity, hosting issues, third-party infrastructure, mobile networks, operating system changes, security incidents or events outside Quadoria's reasonable control.

Quadoria does not guarantee uninterrupted or completely error-free operation of the software.

15. Device and Network Compatibility

QCrate EMI Locker may depend on device hardware, operating system versions, manufacturer restrictions, internet connectivity, permissions, network availability and third-party services.

Quadoria cannot guarantee compatibility with every existing or future device, operating system, firmware version or network environment.

16. Data and Privacy

Use of Quadoria's website and services may involve the collection and processing of certain information. Such information will be handled in accordance with Quadoria's Privacy Policy and applicable law.

Retailers and distributors are responsible for ensuring that information collected from their customers is obtained and processed lawfully and with appropriate notices and consent where required.

17. Third-Party Services

Certain Quadoria services may depend upon third-party hosting providers, cloud services, payment platforms, communication services, mobile operating systems, internet service providers or other technology providers.

Quadoria is not responsible for interruptions, changes or failures caused by third-party services outside Quadoria's reasonable control.

18. Fees, Refunds and Cancellation

Product fees, subscription fees, activation charges, service charges and other applicable fees shall be communicated through the applicable quotation, invoice, order, subscription plan or commercial agreement.

Unless expressly stated otherwise in writing, fees paid for activation, subscription, software access, implementation or services may not be refundable after the relevant service has been activated or delivered.

Any refund, credit or adjustment shall be subject to Quadoria's applicable commercial policy and verification of the relevant transaction.

19. Suspension or Termination

Quadoria may suspend or terminate access to its services where a user, retailer, distributor or partner:

  • Fails to make required payments.
  • Violates these Terms & Conditions.
  • Uses the service unlawfully or abusively.
  • Attempts to compromise the security of the platform.
  • Provides false or misleading information.
  • Creates a security, legal or reputational risk for Quadoria.

Quadoria may also suspend access temporarily where reasonably necessary for security, maintenance, investigation or protection of the platform.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Quadoria shall not be liable for indirect, incidental, special, consequential or business losses arising from the use or inability to use its products or services.

This may include loss of profits, business opportunities, data, reputation, revenue or customer relationships.

Quadoria's liability, where legally applicable, shall be limited to the amount actually paid to Quadoria for the specific service giving rise to the claim during the applicable period, except where such limitation is prohibited by law.

21. Indemnification

To the extent permitted by law, the retailer, distributor, reseller or other business user agrees to indemnify and hold Quadoria harmless from claims, losses, damages, penalties, liabilities, costs and expenses arising from:

  • Their misuse of Quadoria products or services.
  • Violation of applicable law.
  • Violation of customer agreements.
  • Unauthorized device management.
  • Disputes between the retailer/distributor and its customer.
  • False, misleading or unauthorized representations made to customers.

22. Force Majeure

Quadoria shall not be responsible for delays, interruptions or failure to perform caused by events beyond its reasonable control, including natural disasters, government actions, internet or network failures, cyber incidents, infrastructure failures, strikes, war, civil disturbances or other unforeseen events.

23. Changes to These Terms

Quadoria reserves the right to update, modify or amend these Terms & Conditions from time to time to reflect changes in its services, technology, business practices or applicable requirements.

Updated terms may be published on this page. Continued use of the applicable services after the effective date of updated terms may constitute acceptance of the revised Terms, subject to applicable law.

24. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and interpreted in accordance with the laws applicable in India.

Subject to applicable law, disputes arising from these Terms or Quadoria's services shall be subject to the jurisdiction of the competent courts at Indore, Madhya Pradesh, India.

25. Severability

If any provision of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions shall continue to remain in effect to the extent permitted by law.

26. Entire Agreement

These Terms & Conditions, together with any applicable quotation, invoice, order form, subscription terms, commercial agreement and Privacy Policy, constitute the applicable understanding between Quadoria and the relevant user regarding the use of its products and services.
